These Terms of Service (“Terms”) govern your access to and use of the Vireks Android application (“App”), operated by ZADIO EOOD (“Company,” “we,” “us,” or “our”). By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

These Terms incorporate by reference our Privacy Policy, Content License, Refund & Withdrawal Policy, and Copyright & Takedown Policy.

1. Definitions

  • “App” — the Vireks mobile application, its features, updates, and supporting services hosted at zadio.bg/vireks.
  • “Company” — ZADIO EOOD, EIK 201209745, VAT BG201209745.
  • “Consumer” — any natural person acting for purposes outside their trade, business, craft, or profession (Directive 2011/83/EU; Bulgarian Consumer Protection Act).
  • “Free Quota” — the introductory allotment of full-quality recordings you may produce before the one-time unlock is required. For Vireks v1 the Free Quota is five (5) recordings.
  • “Unlock” — the one-time non-consumable in-app purchase that removes the Free Quota limit for an installation of the App on a given Google account.
  • “Recording” — an MP4 (or, optionally, WebM) video file produced by the App during a single Start-to-Stop session, including any microphone audio you opted in to mix in.
  • “User Content” — the Recordings you produce, plus any other media you supply from your own device or external sources for use with the App in future versions.
  • “Digital Content” — data produced and supplied in digital form (Directive (EU) 2019/770; Bulgarian DCA), specifically the App itself and the rights conveyed by the Unlock.
  • “Google Play” — Google Ireland Limited / Google LLC and their applicable affiliates, in their capacity as the App distributor and merchant of record for the Unlock.

2. Eligibility

The App is intended for users aged at least 14 years (Bulgaria; check the local age of digital consent under Article 8 GDPR if you are elsewhere in the EU/EEA). If you are below the age of majority in your jurisdiction, you must have permission from a parent or legal guardian. By accepting these Terms you confirm that you meet these eligibility requirements.

3. License to use the App

Subject to your compliance with these Terms, ZADIO EOOD grants you a personal, worldwide, non-exclusive, non-transferable, revocable licence to install and use the App on a device you own or control, for personal or business screen-recording purposes. This licence is granted under the contract you concluded when you installed the App, the consideration for which is your acceptance of these Terms and (if you choose to make the Unlock purchase) the €5 one-time payment.

The licence does not permit you to: (a) reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App except to the extent permitted by mandatory law (e.g. Art. 6 of Directive 2009/24/EC); (b) remove or alter any proprietary notices or branding; (c) sublicense, sell, lease, or rent the App or the Unlock to a third party; (d) use the App to facilitate or commit illegal acts (see §8); or (e) use the App in a way that violates Google Play's then-current policies.

4. Free quota and the one-time unlock

4.1 The Free Quota

Vireks v1 allows you to produce five (5) full-quality Recordings before the Unlock is required. Free-quota Recordings are identical to paid Recordings: full resolution, full duration (up to the 5-minute per-recording cap), no watermark, no advertisement, no quality degradation. The Free Quota counter is stored locally on your device and is not synchronised to any server.

4.2 The Unlock

Once you have used the Free Quota, the App's Start-recording button becomes locked and the App offers you the opportunity to purchase the Unlock. The Unlock is a one-time, non-consumable in-app purchase at the price of €5 (five euro), inclusive of any applicable VAT collected by Google Play. It is not a subscription. Once you have purchased the Unlock, the Start-recording button remains enabled for the lifetime of the App on the Google account that purchased it, regardless of how many recordings you subsequently produce.

4.3 Cross-device restoration

The Unlock is attached to your Google account. If you install Vireks on another device signed in to the same Google account, the Unlock restores automatically the first time the App contacts Google Play Billing on the new device. There is no separate Vireks account, no Vireks-side login, and no manual transfer procedure.

4.4 Free-quota reset

The Free Quota counter is local. If you clear the App's data, uninstall and reinstall on the same device, or perform a factory reset, the counter may reset to its initial value of five. The Company does not enforce this through a server because doing so would require revoking the App's offline-first promise; see the Privacy Policy. Once a Google account has been associated with an Unlock purchase, however, the App will restore the Unlock from Google Play and the counter is no longer consulted on that account.

5. EU consumer rights

5.1 14-day right of withdrawal (Directive 2011/83/EU)

If you are a Consumer resident in the EU/EEA, you have the right to withdraw from a distance contract for the Unlock without giving any reason within 14 days from the day of conclusion of the contract.

5.2 Article 16(m) waiver — supply of digital content

Under Article 16(m) of Directive 2011/83/EU (as amended by Directive (EU) 2019/2161), the right of withdrawal does NOT apply to contracts for the supply of digital content not on a tangible medium if performance has begun with the Consumer's prior express consent and acknowledgement that the right of withdrawal will thereby be lost. Google Play's purchase flow obtains that consent and acknowledgement at the moment you tap "Buy" on the Unlock purchase dialog. The functional consequence is that, once you have started using a Recording you produced after the Unlock was applied, the 14-day withdrawal period is consumed.

5.3 Conformity remedies (Directive (EU) 2019/770)

If the App is not in conformity with these Terms (for example, it fails to record, the Unlock fails to restore on a new device on the same Google account, or a key advertised feature does not function on your device), you have a hierarchy of statutory remedies under Directive (EU) 2019/770 (DCD) and the Bulgarian Digital Content Act:

  1. Bring into conformity — we will attempt to fix the non-conformity within a reasonable time, free of charge, and without significant inconvenience to you.
  2. Proportionate price reduction — if bringing the App into conformity is impossible, would entail disproportionate costs, or was not achieved within a reasonable time.
  3. Termination of the contract and full refund — in the most serious cases of non-conformity.

To exercise these remedies, contact us at app@zadio.bg with a description of the issue and the device + Android version on which it occurred. Refunds, where applicable, are processed through Google Play; see §5.4 and the Refund & Withdrawal Policy.

5.4 Refund channel — Google Play

Google Play is the merchant of record for Consumer purchases of the Unlock in the EU/EEA. All refunds are processed by Google Play in the first instance:

  • Google Play app → Menu → Payments & subscriptions → Budget & order history → Request a refund;
  • Web: play.google.com/store/account/orderhistory;
  • Google Play refund help: support.google.com/googleplay/answer/2479637.

Your statutory rights under EU/Bulgarian consumer law — including the conformity remedies above and any non-waivable right of withdrawal — apply regardless of Google Play's commercial refund policy. If Google Play declines a refund but you are nonetheless entitled to a remedy under mandatory law, contact us at app@zadio.bg and we will work with Google Play to ensure the reimbursement is processed.

5.5 Out-of-court redress

The European Commission operates an Online Dispute Resolution (ODR) platform for EU Consumers: ec.europa.eu/consumers/odr. Bulgarian Consumers may also use the conciliation commissions of the Commission for Consumer Protection (KZP): www.kzp.bg. We are not obliged to, and do not undertake to, participate in any specific alternative-dispute-resolution scheme beyond the statutory framework.

6. Your recordings and other user content

Your Recordings belong to you. They are produced by the App, stored on your device, and never transmitted to ZADIO EOOD or to any third party we control. ZADIO EOOD asserts no ownership over, and acquires no licence in, your Recordings.

By using the App you agree that:

  • You are responsible for the lawfulness of what you record. Do not use the App to capture content you do not have the right to capture (see §8).
  • You are responsible for storing, sharing, and disposing of your Recordings. ZADIO EOOD does not back up your Recordings and cannot recover them if you delete or lose them.
  • If you choose to share a Recording, you do so using the standard Android share sheet; the share is a direct hand-off from your device's gallery to the receiving app (e.g. a messenger, an email client, a cloud uploader). ZADIO EOOD is not a party to that share.

7. Intellectual property

The App, its source code, object code, user interface, graphics, icons, documentation, website, and the “Vireks” name and mark are owned by ZADIO EOOD or its licensors and are protected by Bulgarian, EU, and international copyright, trademark, and database-right law. Except for the limited licence granted in §3, these Terms grant you no rights, title, or interest in the App or any related intellectual property.

Third-party components used in the App (notably the Google Play Billing client library) are used under their own licences. A list of third-party notices and licences ships with the App.

8. Acceptable use

You agree NOT to use the App to:

  • Record any content that you do not have the legal right to capture — for example, content protected by copyright or trade-mark rights of others without authorisation, communications protected by national wiretapping / one-party-consent laws, content in a context where a reasonable person would have an expectation of privacy (locker rooms, bathrooms, medical settings, video calls with people who did not consent), or any content for which the applicable Apple / Google / phone-manufacturer / third-party-app terms prohibit screen-capture;
  • Record any content that constitutes a criminal offence in your jurisdiction (child sexual abuse material, non-consensual intimate imagery, threats of violence, terrorist content, etc.);
  • Attempt to circumvent Android's FLAG_SECURE protections, the per-session MediaProjection consent dialog, or any other system-enforced security or privacy boundary;
  • Attempt to defeat, tamper with, or reverse-engineer the Free Quota counter, the Unlock verification logic, or the Google Play Billing integration;
  • Use the App in connection with a service that resells screen-recording functionality (the App is licensed for the end-user's own use, not for re-distribution as part of another product);
  • Use the App in any way that breaches Google Play's then-current Developer Programme Policies.

You are solely responsible for compliance with the laws of your jurisdiction. The App's technical ability to capture a given screen does not constitute legal authorisation to do so.

9. Third-party services (Google Play)

The App is distributed via Google Play. Your use of Google Play is governed by Google's own terms (play.google.com/intl/en-us_us/about/play-terms/) and Google's privacy policy (policies.google.com/privacy). ZADIO EOOD is not a party to your relationship with Google. Where there is a conflict between Google's terms and ours on a matter Google controls (such as payment processing, refund timelines, or platform-level account management), Google's terms govern that matter.

10. Disclaimer of warranties

Subject to your statutory rights under mandatory EU and Bulgarian consumer law, the App is provided "as is" and "as available". To the maximum extent permitted by law, ZADIO EOOD disclaims all warranties not expressly granted in these Terms, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

In particular, ZADIO EOOD does not warrant that:

  • The App will be uninterrupted, error-free, or compatible with every Android device, Android version, or OEM customisation in existence;
  • Any specific recording session will succeed (for example, if the device runs out of storage, the OS denies the MediaProjection consent, or another app is using a hardware encoder Vireks needs);
  • A particular app you wish to record will allow itself to be captured (apps that mark themselves FLAG_SECURE — banks, video-streaming apps, password managers — appear as black frames by Android-level design).

This clause does not exclude or limit any liability that cannot be excluded or limited under Bulgarian or EU consumer law.

11. Limitation of liability

To the maximum extent permitted by law, ZADIO EOOD's aggregate liability to a Consumer in connection with the App or these Terms shall not exceed the greater of (a) the amount you paid for the Unlock in the 12 months preceding the event giving rise to the claim, or (b) ten euro (€10).

To the maximum extent permitted by law, ZADIO EOOD shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of goodwill, loss of data, loss of recordings, or business interruption, even if advised of the possibility of such damages.

Nothing in these Terms excludes or limits ZADIO EOOD's liability for: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; intentional misconduct or gross negligence; or any other liability that cannot be excluded or limited under mandatory Bulgarian or EU consumer law.

12. Indemnification

If you are using the App in the course of a trade, business, craft, or profession (i.e. you are NOT a Consumer for the purposes of EU/Bulgarian consumer law), you agree to indemnify and hold ZADIO EOOD harmless from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of (a) your breach of these Terms, (b) your unlawful use of the App, or (c) third-party claims relating to content you recorded with the App.

This indemnification clause does NOT apply to Consumers.

13. Termination

You may terminate this contract at any time by uninstalling the App. Termination does not affect any rights or obligations that accrued before termination, including your right under EU consumer law to enforce conformity remedies for the App's pre-termination state and our right to retain bookkeeping records under Bulgarian law.

ZADIO EOOD may terminate this contract with immediate effect if you materially breach §8 (Acceptable Use) or if continued service would expose the Company to civil or criminal liability. In such cases the Company will, where reasonable, attempt to give you notice and an opportunity to cure the breach.

14. Changes to these Terms

We may update these Terms from time to time — for example, to reflect changes to Google Play's policies or to clarify wording. Material changes will be reflected by updating the “Last Updated” date at the top and, where appropriate, surfacing a notice in the App. Continued use after the effective date of a change constitutes acceptance. Prior versions available on request.

15. Governing law and disputes

These Terms are governed by the laws of the Republic of Bulgaria (an EU Member State), without prejudice to the mandatory consumer-protection provisions of the country of habitual residence of the Consumer (Article 6 of Regulation (EC) 593/2008, Rome I).

For Consumers, jurisdiction follows the rules of Articles 17-19 of Regulation (EU) 1215/2012 (Brussels I recast): a Consumer may bring proceedings against the Company either in the courts of Bulgaria or in the courts of the EU Member State where the Consumer is domiciled, and may be sued only in the courts of the EU Member State where the Consumer is domiciled.

For non-Consumers, the courts of Bulgaria at the Company's registered seat have exclusive jurisdiction.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable under applicable mandatory law, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall continue in full force and effect.

17. Assignment

You may not assign these Terms or any rights under them without our prior written consent. ZADIO EOOD may assign these Terms to an affiliate or to a successor in the context of a merger, acquisition, or sale of substantially all of the assets to which these Terms relate, provided that the assignee assumes the Company's obligations under these Terms in full.

18. Force majeure

Neither party is liable for failure to perform an obligation under these Terms to the extent that the failure is caused by an event beyond the party's reasonable control (e.g. natural disaster, war, epidemic, state-imposed restriction, internet-backbone outage, large-scale Google Play outage).

19. Entire agreement

These Terms, together with the documents they incorporate by reference (Privacy Policy, Content License, Refund & Withdrawal Policy, Copyright & Takedown Policy, Cookie Policy, Imprint), constitute the entire agreement between you and ZADIO EOOD concerning the App and supersede any prior agreements between you and ZADIO EOOD on that subject.

Annex A — Model Withdrawal Form

If you wish to withdraw from the contract for the Unlock (subject to the Article 16(m) waiver in §5.2 and the practical limitations explained in the Refund & Withdrawal Policy), you may copy, complete, and email the following form to app@zadio.bg. You are not required to use this exact form; any clear statement of your decision to withdraw is sufficient.
